RAJESH K. AGGARWAL is an associate professor of finance at the Carlson School of Management, University of Minnesota. He previously taught at Dartmouth College, the University of Michigan, the University of Virginia, and Oxford University. He conducts research on managerial incentives and executive compensation, financial contracts and corporate finance, corporate governance, mergers and acquisitions, initial public offerings, and securities fraud. His research is published in top journals such as the Journal of Political Economy, the Journal of Finance, the Journal of Financial Economics, the Journal of Business, and the Journal of Money, Credit, and Banking. Aggarwal holds a BA in Economics from Yale University and a PhD in Finance and Economics from Harvard University.
   
TIMOTHY NANTELL is a professor of finance at the Carlson School of Management, University of Minnesota. Nantell also held the following positions with the Carlson School: Acting Dean, Associate Dean of Faculty, Finance Department Chairperson, and Faculty Director of the MBA Program. He also initiated the Center for the Financial Services Industry. His current research and teaching interests concern valuation models and their application. He has been recognized for teaching excellence in the MBA Program a number of times and was named ‘Dedicated Faculty Member of the Year’ by the MBA classes of 2002 and 2003.
   
RICHARD NELSON is a senior lecturer in finance and Director of Undergraduate Finance Programs, Department of Finance, Carlson School of Management, University of Minnesota. He joined the Carlson School of Management faculty in 1997 and has taught numerous MBA and undergraduate courses. Prior 1997 he spent sixteen years in various finance positions in private industry, most recently as senior vice president of ReliaStar (now ING) Investment Research Inc. He received his BSBA in 1980, and his MBA in 1987 from the Carlson School of Management.


Executive Presentors

BRIAN W. BIRD is a senior manager with Deloitte & Touche in the M&A Transaction Services Group. He specializes in delivering accounting services relating to mergers and acquisitions. Prior to joining the M&A Transaction Services Group, Brian worked at a U.S. publicly-traded company assisting with transaction structuring, financial reporting and accounting policy development for multiple element arrangements, asset leases and business combinations. During his professional career, he has advised in a wide variety of industries, including consumer business, industrial manufacturing, software, digital media and technology. Bird earned his BBA in Accountancy and his MBA in Finance from the University of Notre Dame. He is a licensed CPA in the states of Illinois and Texas and a member of the AICPA.

 

GLENN GURTCHEFF is Managing Director for Harris Williams & Co. Previously he was co-head of Piper Jaffray’s Middle Market Mergers and Acquisitions practice, a group of investment banking professionals focused exclusively on mergers and acquisitions for a broad array of private equity and corporate clients. He has over 17 years of M&A and related transaction experience encompassing a wide range of industries. Gurtcheff earned an MBA from the Wharton School at the University of Pennsylvania, an MS in Mechanical Engineering from the University of Minnesota, and a BS in Mechanical Engineering from the University of Notre Dame.

 

PETER MARTIN is a Director in Corporate Development for Ingenix, a wholly-owned subsidiary of UnitedHealth Group. He has over six years of M&A experience including business valuation, transaction structuring, due diligence, and integration planning. Prior to joining Ingenix, Martin was a Manager in the Transaction Advisory Services practice of Deloitte. He is a CPA and holds an MBA in finance and strategy from the Carlson School of Management, University of Minnesota  and a BS in accounting from the University of South Dakota. 

 

JEFFREY MUDGE is Principal and Co-founder of ShoreView Industries LLC. At ShoreView, Mudge co-manages a $300 million middle-market private equity fund focused on investing in established, middle-market companies in North America. Previously he was a Principal at Churchill Capital Inc., a Minneapolis based private equity and mezzanine investment firm. Mudge has also served as a board member or shareholder representative on a number of portfolio companies. He received a BBA in Finance from the University of Texas at Austin and an MBA from the University of Minnesota, and is a Chartered Financial Analyst (CFA).


JAMES C. PHILLIPS is Vice President of Corporate Development for Ingenix, a wholly-owned subsidiary of UnitedHealth Group. His responsibilities include acquisitions, divestitures, joint ventures, and equity investments. Previously he worked in senior management for 3M and Deloitte & Touche. He has over twenty years of global M&A experience and is a frequent speaker on M&A and corporate development strategy. Phillips holds an MBA in finance and strategy from the Anderson School at UCLA as well as MS and BS degrees in computer engineering from the University of Southern California.

 

MICHAEL E. STIBICH is a tax partner in the M&A Transaction Services group of Deloitte Tax, LLP. He has extensive experience serving private equity funds and large multinational companies regarding corporate tax matters, as well as working on corporate transactions, multi-jurisdiction due diligence projects, and corporate restructuring . He has also served as the lead partner on Deloitte’s Corporate Transactions Competency Team, where he was responsible for developing firm wide corporate tax technical training, updating the national practice of new transaction issues, and coordinating services with Deloitte’s Washington National Tax Office. He is a member of the Illinois Bar and is a licensed Certified Public Accountant. Stibich received his JD degree from Loyola University Law School where he specialized in taxation, and his BS degree in Accounting from the University of Illinois.

 

DAVID TERRY is a partner at M&A Transaction Services, Deloitte Tax LLP. He has worked with many of the firm’s most prominent strategic and private equity clients, providing services which include financial due diligence, contract review and modeling for domestic and international transactions. Terry has advised in a wide variety of industries, including consumer business, manufacturing, health care, telecommunications, food service, catalog merchandising and distribution. He holds a bachelor’s degree in accounting from Miami University and is a frequent lecturer and instructor on M&A accounting matters.

 

MARK WILLIAMSON is a principal with the law firm of Gray, Plant, Mooty, Mooty & Bennett, P.A. practicing in the areas of general business and corporate and securities law and is Co-Chair of the firm’s Mergers & Acquisitions Practice Team. Williamson has extensive experience representing both public and private companies in various corporate transactions, including mergers and acquisitions, public and private offerings, tender offers, and corporate financings. He lectures frequently on merger & acquisition and business law topics. He has been recognized as a “Rising Star” lawyer by Minnesota Law & Politics in 2001, 2002, 2003, 2004, and  2005. Williamson received his BA from St. Olaf College and his JD from the University of Denver College of Law.
